1. ACCEPTANCE OF TERMS

Pawzitiveshippersr.com provides a collection of online resources, including a load board, etc. (referred to hereafter as "the Service") subject to the following Agreement and Terms of Use ("Agreement"). By using the Service in any way, the user ("Driver") agrees to comply with the Agreement. In addition, when using particular Pawzitiveshippers.com services, Driver agrees to abide by any applicable posted guidelines for all Pawzitiveshippers.com services, which may change from time to time. Should Driver object to any term or condition of the Agreement, any guidelines, or any subsequent modifications thereto or become dissatisfied with Pawzitiveshippers.com in any way, Driver's only recourse is to immediately discontinue use of Pawzitiveshippers.com. Pawzitiveshippers.com has the right, but is not obligated, to strictly enforce the Agreement through self-help, community moderation, active investigation, litigation, and prosecution.

2. ACCOUNT REGISTRATION AND CERTIFICATION

BY COMPLETING THE REGISTRATION PROCESS AND/OR USING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS OF USE, PLEASE EXIT THE SITE NOW. YOUR REMEDY FOR DISSATISFACTION WITH THIS SITE, OR ANY PRODUCTS, SERVICES, CONTENT, OR OTHER INFORMATION AVAILABLE ON OR THROUGH THIS SITE, IS TO STOP USING THE SITE AND/OR THOSE PARTICULAR PRODUCTS OR SERVICES. YOUR AGREEMENT WITH US REGARDING COMPLIANCE WITH THESE TERMS OF USE BECOMES EFFECTIVE IMMEDIATELY UPON COMMENCEMENT OF YOUR USE OF THIS SITE.
Pawzitiveshippers.com requires the Driver to register with the Service by creating a username and password. Following successful username/password registration, and prior to being granted access to the Service, Driver shall submit to a certification process in order to verify 's identity.
This is obtained by completing our online registration form, which requests certain information and data (“Registration Data”) and maintaining and updating your Registration Data as required. By registering, you agree that all the information provided in the Registration Data is true and accurate and that you will maintain and update this information as required in order to keep it current, complete and accurate.
Pawzitive Shippers (referred to as “us” or “we”) provides the Pawzitiveshippers.com site and various related services (together referred to as this “site”) subject to your compliance with all the terms, conditions, and notices contained or referenced herein (the “Terms of Use”), as well as any other written agreement between us (or your company). In addition, when using particular services or materials on this site, users shall be subject to any posted guidelines or rules applicable to such services or materials that may contain terms and conditions in addition to those in these Terms of Use. All such guidelines or rules are hereby incorporated by reference into these Terms of Use.

Upon creation of a valid username and password and strictly contingent upon successful certification, Pawzitiveshippers.com grants Driver a limited, revocable, nonexclusive license to access the Service for Driver's own personal use. Use of the Service beyond the scope of authorized access granted to Shipper by Pawzitiveshippers.com immediately terminates said permission or license.
Driver may not under any circumstance exchange personal contact information with shipper prior to shipper paying Pawzitiveshippers.com $75 booking fee.

3. TERMINATION OF SERVICE

Driver agrees that Pawzitiveshippers.com, in its sole discretion, has the right (but not the obligation) to delete or deactivate Driver's account, block Driver’s email or IP address, or otherwise terminate Driver's access to or use of the Service (or any part thereof), immediately and without notice, and remove and discard any Content within the Service, for any reason, including, without limitation, if Pawzitiveshippers.com believes that Driver has acted inconsistently with the letter or spirit of the Agreement. Further, Driver agrees that Pawzitiveshippers.com shall not be liable to Driver or any third-party for any termination of Driver's access to the Service. Further, Driver agrees not to attempt to use the Service after said termination.

4. CONTENT

Driver understands that all postings (including, but not necessarily limited to, any transport-availability information), messages, text, files, or other materials ("Content") posted on, transmitted through, or linked from the Service, are the sole responsibility of the person or entity from whom such Content originated. More specifically, Driver is entirely responsible for each individual item ("Item") of Content that Driver posts, emails, or otherwise makes available via the Service. Driver understands that Pawzitiveshippers.com does not control, and is not responsible for Content made available through the Service, and that by using the Service, Driver may be exposed to Content that is inaccurate, misleading, or otherwise objectionable. Furthermore, the Pawzitiveshippers.com site and Content available through the Service may contain links to other websites, which are completely independent of Pawzitiveshippers.com. Pawzitiveshippers.com makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site. Driver linking to any other websites is at Driver's own risk. Driver agrees that Driver must evaluate, and bear all risks associated with the use of any Content, that Driver may not rely on Pawzitiveshippers.com in respect of said Content, and that under no circumstances will Pawzitiveshippers.com be liable in anyway for any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise made available via the Service. Driver acknowledges that Pawzitiveshippers.com does not pre-screen or approve Content or monitor the same, but that Pawzitiveshippers.com shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available via the Service, for violating the letter or spirit of the Agreement or for any other reason.

5. FEES

By accepting this Agreement, Driver agrees that we may obtain information about Driver, including without limitation Driver’s driving record, references, and credit information. Driver hereby authorizes Us to perform periodic background checks on Driver, and further agrees to provide any necessary authorization to facilitate Our access to Driver’s official driving record, references and credit information during the term of the Agreement. Driver also agrees to PawzitiveShippers performing an address verification by comparing and analyzing credit card information provided by Driver. Driver is responsible for notifying Pawzitive Shippers regarding possible errors in any charges or fees applied to Driver, and Driver agrees to hold Pawzitive Shippers harmless should error in fees or charges arise. Any claim to refund charges made in error are valid for 90 days after the charge was made, after which time Driver rescinds any claim to refunds on charges made in error. Pawzitive Shippers will ONLY refund the credit card that was used to make the purchase, or to an updated credit card provided to us. Under exceptional circumstances we may use Paypal to issue refunds. Pawzitive Shippers cannot issue personal checks to process refunds.

6. LIMITATIONS ON SERVICE

Driver acknowledges that Pawzitiveshippers.com may establish limits concerning use of the Service, including the maximum number of days that Content will be retained by the Service, the maximum number of postings, or other Content that may be transmitted or stored by the Service, and the frequency with which Driver may access the Service. Driver agrees that Pawzitiveshippers.com has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Service. Driver acknowledges that Pawzitiveshippers.com reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice, and that Pawzitiveshippers.com shall not be liable to Driver or to any third party for any modification, suspension or discontinuance of the Service.

7. LOSS, DAMAGE OR DELAY CLAIMS

Driver shall immediately report all lost, damaged and delayed shipments to the Shipper. Immediately thereafter, Driver shall report such loss, damage or delay to Pawzitiveshippers.com. Driver agrees to cooperate fully with Shipper and with Pawzitiveshippers.com with respect to any loss, damage or delay claim of Shipper. To notify us, please email us on drivers 'at' Pawzitiveshippers.com and include any supporting evidence, for example photos.

8. APPROPRIATE USE

By registering with Pawzitiveshippers.com, Driver represents, warrants and covenants that
(1) Driver is at least 21 years of age;
(2) Driver is or represents a bona fide business entity or Driver is an individual of which agrees to the terms of this agreement;
(3) Driver's access to the Service is for commercial purposes and is limited to taking commercial advantage of the Service or Driver is an individual and uses service for certain items to be shipped of which are in compliance with the terms of service herein;
(4) Driver will not permit non-registered users to use the Service without the express permission of Pawzitiveshippers.com;
(5) Driver will not disclose Driver's Pawzitiveshippers.com password or provide access to Driver's Pawzitiveshippers.com account to non-registered users without the express permission of Pawzitiveshippers.com and
(6) Driver has provided an accurate description of all items posted on the Service.
(7) Driver will not disclose personal or identifying information or make contact with other persons outside of Pawzitiveshippers.com unless expressly allowed by Pawzitiveshippers.com, or after accepting/hiring by transportation provider through Pawzitiveshippers.com.
By violating these warranties, Driver risks having Driver's account terminated by Pawzitiveshippers.com without warning, in addition to being subject to any other legal remedies that may be available under the Agreement, or that may be available under state and/or federal law. To the extent Pawzitiveshippers.com may have to sue Driver to enforce any part of the Agreement, or other federal and state law violations committed by Driver while accessing or using the Service, Driver expressly agrees to bear the costs of that enforcement, including without limitation, all related attorneys' fees.

9. PET TRANSPORT AND EUTHANASIA POLICY

Drivers are hereby prohibited to accept a shipment that involves the euthanasia, end of life services or anything of the like of an animal. Driver and Shipper agree that they will not participate or agree to such transportation. Acceptance of such a job will result in immediate termination of the service for both the Shipper and Driver. Driver also agrees that they will cover any veterinary fees or autopsy fees associated with a pet while in their care.

10. DISCLAIMER OF WARRANTIES

Pawzitiveshippers.com facilitates the movement of shipments by maintaining an online load-matching service for use by drivers and shippers, but Pawzitiveshippers.com does not arrange for the movement of shipments. All such arrangements are made by the users of the Service, and any terms and conditions of such shipment movement are solely between the Driver and the Shipper. Pawzitiveshippers.com assumes no liability or responsibility for the labeling, handling, packaging or preparation for transport of shipments posted with the Service and it makes no representations or warranties as to the transit worthiness of same or whether the same is, in fact, safe for handling or transport which remains the responsibility of the Shipper and/or the driver or carrier as the case may be. No agency, partnership, joint venture, employee-employer, or franchisee-franchisor relationship is intended or created by Driver's use of the Service or by the Agreement.
If you choose to use the Pawzitive Shippers Platform you do so voluntarily and at your sole risk. Pawzitiveshippers.com and its Collective Content is provided “as is”, without warranty of any kind, either express or implied.
The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights. However, the duration of statutorily required warranties, if any, shall be limited to the maximum extent permitted by law.
Driver's use of the Service is at Driver’s own risk. While Pawzitiveshippers.com makes reasonable efforts to post accurate and timely information, Pawzitiveshippers.com makes no representations or warranties of the accuracy of the Service's content and assumes no liability or responsibility for inaccuracies, errors, or omissions in such content.
Neither Pawzitiveshippers.com nor any other party involved in the creation, distribution, or display of the Service is liable for any lost profits or any direct, indirect, punitive, incidental, special, or consequential damages that result from the use, or inability to use, the Service, even to the event of its own negligence. WITHOUT LIMITING THE FOREGOING, AND TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, ALL CONTENT AND SERVICES PROVIDED TO DRIVER THROUGH THE SERVICE ARE DELIVERED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Pawzitiveshippers.com does not warrant that the Service or its server(s) are free of viruses or other harmful components that may infect or damage Driver’s computer equipment or other property as a result of Driver accessing, browsing, and/or using the Service, downloading information, or printing information through the Service.

11. LIMITATIONS OF LIABILITY

UNDER NO CIRCUMSTANCES SHALL PAWZITIVESHIPPERS.COM BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF PAWZITIVESHIPPERS.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM ANY OF DRIVER'S USE OF THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE, WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE, FROM INABILITY TO USE THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE, OR THE INTERRUPTION, SUSPENSION, MODIFICATION, ALTERATION, OR TERMINATION OF THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE. SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR PRODUCTS RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE OR ANY LINKS ON THE PAWZITIVESHIPPERS.COM SITE, AS WELL AS BY REASON OF ANY INFORMATION OR ADVICE RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE OR ANY LINKS ON THE PAWZITIVESHIPPERS.COM SITE. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. In some jurisdictions, limitations of liability are not permitted. In such jurisdictions, some of the foregoing limitations may not apply to Driver.

12. INDEMNITY

Driver agrees to indemnify and hold Pawzitiveshippers.com, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand, including reasonable attorney fees and court costs, made by any third party due to or arising out of Content Driver submits, posts or makes available through the Service, Driver's use of the Service, Driver's violation of the Agreement, Driver's breach of any of the representations and warranties herein, Driver's performance [or the lack thereof] of its mandate or Driver’s violation of any rights of another.

15. VIOLATION OF TERMS AND LIQUIDATED DAMAGES

Pawzitiveshippers.com's failure to act with respect to a breach by Driver or others does not waive its right to act with respect to subsequent or similar breaches. Pawzitive Driver reserves the right to recover damages that go beyond those provided for in the agreement and Terms of use; or receive other forms of equitable relief in lieu of, or in addition to, the liquidated damages.
(a) If Driver posts Content that
(1) impersonates any person or entity;
(2) falsely states or otherwise misrepresents Driver 's affiliation with a person or entity; or
(3) that includes personal or identifying information about another person or entity without that person or entity's explicit consent, Driver agrees to pay Pawzitiveshippers.com one thousand dollars ($1,000) for each item of Content posted.
(b) If Driver posts Content in violation of the Agreement, other than as described above, Driver agrees to pay Pawzitiveshippers.com one hundred dollars ($100) for each item of Content posted. In its sole discretion, Pawzitiveshippers.com may elect to issue a warning before assessing damages. Otherwise, Driver agrees to pay Pawzitiveshippers.com's actual damages, to the extent such actual damages can be reasonably calculated. Notwithstanding any other provision of the Agreement, Pawzitiveshippers.com retains the right to seek the remedy of specific performance of any term contained in these Terms, or a preliminary or permanent injunction against the breach of any such term or in aid of the exercise of any power granted in the Agreement, or any combination thereof.

13. MODIFICATIONS TO THIS AGREEMENT

Pawzitiveshippers.com reserves the right, at our sole discretion, to change, modify or otherwise alter these terms and conditions at any time. Such modifications shall become effective immediately upon the posting thereof. Driver must review this agreement on a regular basis to keep apprised of any changes.

14. DRIVER LIABILITY

Contacting any of our users, defaming our business integrity, or making damaging statements regarding our business and services, may cause irreparable harm to our brand and identity. We will hold Driver personally liable for defamation or slander and will pursue each and every legal remedy at our disposal. Pawzitive Shippers reserves the right to recover damages that go beyond those provided for in the agreement and Terms of use; or receive other forms of equitable relief in lieu of, or in addition to, the liquidated damages.
If Driver fails to fulfill its obligations to shippers, it will be personally liable to cover the lost booking deposit fees that the shipper has sent us, plus additional fees Pawzitive Shippers feels are justified, due to the damage to Pawzitive Shipper’s reputation that Driver’s actions may have caused.
After Driver is banned and suspended from our site, Driver may not sign up to Pawzitive Shipper’s site using a different business name, or have a family member or associate sign up when it is reasonably clear that it is the same or related business entity attempting to the Pawzitive Shippers site after being suspended. Each attempt to create a new account after being suspended may subject Driver to a penalty of $1,200.
If Driver DOES sign up as a new entity on Pawzitive Shipper’s site but is clearly operating as the entity that was previously banned and suspended from the site, then the new entity will be treated the same as the original entity.
Driver agrees to review the terms and conditions of the site on a regular basis and agrees that any modifications to the terms are applicable to the Driver each time the Driver logs into the site.

15. CODE OF CONDUCT

Pawzitiveshippers.com is a platform that is welcoming to all genders, races, and persuasions and we are committed to creating an environment that is welcoming to all. If anyone using our site feels that they have been the recipient of harassment or discrimination, then please contact our customer support immediately. Shipper must submit complaints in writing to Pawzitiveshippers.com customer support. In Shipper’s complaint, Shipper should detail the specific events surrounding the violation of the code of conduct and produce any evidence in support thereof.
Our course of action is as follows:
i. Immediate suspension for 48 hours while our team investigates the issue
ii. If harassment/discrimination has occurred driver/customer is sent a written warning that this is inconsistent with our values.
iii. If a second offense occurs, we lock the account for 5 days.
iv. If a third offense occurs, we lock the account for 3 weeks.
v. If a fourth offense occurs, we close the account and ban the driver for life.
Pawzitiveshippers.com reserves the right to ban or permanently suspend accounts for any time for any reason pursuant to the Terms of Service herein.

16. GENERAL INFORMATION

The Agreement constitutes the entire agreement between Driver and Pawzitiveshippers.com and governs Driver's use of the Service, superseding any prior agreements between Driver and Pawzitiveshippers.com. The Agreement and the relationship between Driver and Pawzitiveshippers.com shall be governed by the laws of the State of Colorado without regard to its conflict of law provisions. Driver and Pawzitiveshippers.com agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Lake, Florida. The failure of Pawzitiveshippers.com to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision. If any provision of the Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Agreement remain in full force and effect. Driver agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Shipper agrees that Pawzitiveshippers.com has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Service. Shipper acknowledges that Pawzitiveshippers.com reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice, and that Pawzitiveshippers.com shall not be liable to Shipper or to any third party for any modification, suspension or discontinuance of the Service.

6. APPROPRIATE USE

By registering with Pawzitiveshippers.com, Shipper represents, warrants and covenants that
(1) Shipper is at least 21 years of age;
(2) Shipper is or represents a bona fide business entity or Shipper is an individual of which agrees to the terms of this agreement;
(3) Shipper's access to the Service is for commercial purposes and is limited to taking commercial advantage of the Service or Shipper is an individual and uses service for certain items to be shipped of which are in compliance with the terms of service herein;
(4) Shipper will not permit non-registered users to use the Service without the express permission of Pawzitiveshippers.com; (5) Shipper will not disclose Shipper's Pawzitiveshippers.com password or provide access to Shipper's Pawzitiveshippers.com account to non-registered users without the express permission of Pawzitiveshippers.com and
(6) Shipper has provided an accurate description of all items posted on the Service.
(7) Shipper will not disclose personal or identifying information or make contact with other persons outside of Pawzitiveshippers.com unless expressly allowed by Pawzitiveshippers.com, or after accepting/hiring by transportation provider through Pawzitiveshippers.com.
By violating these warranties, Shipper risks having Shipper's account terminated by Pawzitiveshippers.com without warning, in addition to being subject to any other legal remedies that may be available under the Agreement, or that may be available under state and/or federal law. To the extent Pawzitiveshippers.com may have to sue Shipper to enforce any part of the Agreement, or other federal and state law violations committed by Shipper while accessing or using the Service, Shipper expressly agrees to bear the costs of that enforcement, including without limitation, all related attorneys' fees.

7. PET EUTHANASIA RESTRICTION POLICY

Shippers must take note that Drivers are hereby prohibited to accept a shipment that involves the euthanasia, end of life services or anything of the like of an animal. Driver and Shipper agree that they will not participate or agree to such transportation. Acceptance of such a job will result in immediate termination of the service for both the Shipper and Driver.

8. DISCLAIMER OF WARRANTIES

Pawzitiveshippers.com facilitates the movement of shipments by maintaining an online load-matching service for use by transporters and shippers, but Pawzitiveshippers.com does not arrange for the movement of shipments. All such arrangements are made by the users of the Service, and any terms and conditions of such shipment movement are solely between the transporter and the shipper. Pawzitiveshippers.com assumes no liability or responsibility for the labeling, handling, packaging or preparation for transport of shipments posted with the Service and it makes no representations or warranties as to the trustworthiness of same or whether the same is, in fact, safe for handling or transport which remains the responsibility of the Shipper and/or the transporter or carrier as the case may be. No agency, partnership, joint venture, employee-employer, or franchisee-franchisor relationship is intended or created by Shipper's use of the Service or by the Agreement.
If you choose to use the Pawzitive Shippers Platform you do so voluntarily and at your sole risk.
Pawzitiveshippers.com and its Collective Content is provided “as is”, without warranty of any kind, either express or implied. Pawzitiveshippers.com is only a platform to connect shippers to drivers. Shipper agrees to pay only a booking fee to Pawzitiveshippers.com. All other fees associated with the transportation of goods will be paid directly to the driver upon drivers terms and conditions. All transactions other than specified booking fee will be directly paid to the driver.
The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights. However, the duration of statutorily required warranties, if any, shall be limited to the maximum extent permitted by law.
Shipper's use of the Service is at Shipper's own risk. While Pawzitiveshippers.com makes reasonable efforts to post accurate and timely information, Pawzitiveshippers.com makes no representations or warranties of the accuracy of the Service's content and assumes no liability or responsibility for inaccuracies, errors, or omissions in such content.
Neither Pawzitiveshippers.com nor any other party involved in the creation, distribution, or display of the Service is liable for any lost profits or any direct, indirect, punitive, incidental, special, or consequential damages that result from the use, or inability to use, the Service, even to the event of its own negligence. WITHOUT LIMITING THE FOREGOING, AND TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, ALL CONTENT AND SERVICES PROVIDED TO SHIPPER THROUGH THE SERVICE ARE DELIVERED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Pawzitiveshippers.com does not warrant that the Service or its server(s) are free of viruses or other harmful components that may infect or damage Shipper's computer equipment or other property as a result of Shipper accessing, browsing, and/or using the Service, downloading information, or printing information through the Service.
Pawzitiveshippers.com makes no representations or warranties as to the certification of and/or qualifications of a carrier or transporter either generally or with respect to any shipment posted on the Service. In this regard, the Shipper acknowledges that carriers or transporters are solely responsible for ensuring that they are and remain in full compliance as to any federal, state or provincial laws governing the handling and carriage of shipments including the exportation or importation of shipments to and from the United States and Canada as the case may be. Without restricting the generality of the foregoing, the Shipper accepts the risk of any delay or non-delivery of any shipment on account of (i) the non-compliance of any law or regulation by the carrier or transporter, (ii) any act or authority of any government or regulatory authority and/or (iii) the laws of any country having the effect of prohibiting or delaying the entry of a shipment for delivery to destination.

9. LIMITATIONS OF LIABILITY

UNDER NO CIRCUMSTANCES SHALL PAWZITIVESHIPPERS.COM BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF PAWZITIVESHIPPERS.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM ANY OF SHIPPER'S USE OF THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE, WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE, FROM INABILITY TO USE THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE, OR THE INTERRUPTION, SUSPENSION, MODIFICATION, ALTERATION, OR TERMINATION OF THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE. SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR PRODUCTS RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE OR ANY LINKS ON THE PAWZITIVESHIPPERS.COM SITE, AS WELL AS BY REASON OF ANY INFORMATION OR ADVICE RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE PAWZITIVESHIPPERS.COM SITE OR THE SERVICE OR ANY LINKS ON THE PAWZITIVESHIPPERS.COM SITE. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. In some jurisdictions, limitations of liability are not permitted. In such jurisdictions, some of the foregoing limitations may not apply to Shipper.

10. INDEMNITY

Shipper agrees to indemnify and hold Pawzitiveshippers.com, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand, including reasonable attorney fees and court costs, made by any third party due to or arising out of Content Shipper submits, posts or makes available through the Service, Shipper's use of the Service, Shipper's violation of the Agreement, Shipper's breach of any of the representations and warranties herein, or Shipper's violation of any rights of another.
Pawzitiveshippers.com reserves the right to recover damages that go beyond those provided for in the agreement and Terms of use; or receive other forms of equitable relief in lieu of, or in addition to, the liquidated damages.

11. INSURANCE [OPTIONAL]

Shipper may, at its option, and at its sole cost and expense, procure cargo insurance in such amounts as it deems appropriate. Shipper agrees to hold Pawzitiveshippers.com harmless with respect to lost, damaged or delayed shipment. Pawzitiveshippers.com has no responsibility to procure any insurance covering loss, damage or delay to Shipper's cargo.

12. VIOLATION OF TERMS AND LIQUIDATED DAMAGES

CitizenShipper.com's failure to act with respect to a breach by Shipper or others does not waive its right to act with respect to subsequent or similar breaches. Pawzitiveshippers.com reserves the right to recover damages that go beyond those provided for in the agreement and Terms of use; or receive other forms of equitable relief in lieu of, or in addition to, the liquidated damages. Shipper understands and agrees that, because damages are often difficult to quantify, if it becomes necessary for Pawzitiveshippers.com to pursue legal action to enforce any part of the Agreement, Shipper will be liable to pay Pawzitiveshippers.com the following amounts as liquidated damages, which Shipper accepts as reasonable estimates of Pawzitiveshippers.com's damages for the specified breaches of the Agreement:
(a) If Shipper posts Content that
(1) impersonates any person or entity;
(2) falsely states or otherwise misrepresents Shipper's affiliation with a person or entity; or
(3) that includes personal or identifying information about another person or entity without that person or entity's explicit consent, Shipper agrees to pay Pawzitiveshippers.com one thousand dollars ($1,000) for each item of Content posted.
(b) If Shipper posts Content in violation of the Agreement, other than as described above, Shipper agrees to pay Pawzitiveshippers.com one hundred dollars ($100) for each item of Content posted. In its sole discretion, Pawzitiveshippers.com may elect to issue a warning before assessing damages. Otherwise, Shipper agrees to pay Pawzitiveshippers.com's actual damages, to the extent such actual damages can be reasonably calculated. Notwithstanding any other provision of the Agreement, Pawzitiveshippers.com retains the right to seek the remedy of specific performance of any term contained in these Terms, or a preliminary or permanent injunction against the breach of any such term or in aid of the exercise of any power granted in the Agreement, or any combination thereof. Shipper agrees that Pawzitiveshippers.com's damages can be charged using any payment methods provided to Pawzitiveshippers, at Pawzitiveshippers.com's discretion.

13. MODIFICATIONS TO THIS AGREEMENT

We reserve the right to change these Terms of Use from time to time without notice to you. You acknowledge and agree that it is your responsibility to review this site and these Terms of Use periodically and to be aware of any modifications. Your continued use of this site after such modifications will constitute your acknowledgement of the modified Terms of Use and agreement to abide by and be bound by the modified Terms of Use.
Shipper must review this agreement on a regular basis to keep apprised of any changes.

After reserving a driver, the following are the cancellation fees due to the driver if shipments are canceled with less than 3 days to the pickup date.
48-72 hours to pick-up: $75 cancellation fee owed to the driver
24-48 hours to pick-up: $125 cancellation fee owed to the driver
0-24 hours to pick-up: 50% of the agreed final fee

16. GENERAL INFORMATION

The Agreement constitutes the entire agreement between Shipper and Pawzitiveshippers.com and governs Shipper's use of the Service, superseding any prior agreements between Shipper and Pawzitiveshippers.com. The Agreement and the relationship between Shipper and Pawzitiveshippers.com shall be governed by the laws of the State of Florida without regard to its conflict of law provisions. Shipper and Pawzitiveshippers.com agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Lake, Florida. The failure of Pawzitiveshippers.com to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision. If any provision of the Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Agreement remain in full force and effect. Shipper agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.

This Privacy Policy applies to all platforms and services offered by Pawzitive Shippers, LLC, a Florida limited liability company (“Pawzitive Shippers”) and applies the same to all users, if you want to access or use the PawzitiveShippers platform via our website at www.pawzitiveshippers.com (“Website”), whether you are a driver who picks-up, carries or drops-off goods (“Driver”), someone using our Services to send goods with a Driver (“Shipper”), the recipient of goods (“Recipient”) or someone who signs-up to potentially use our Services (collectively, “Users”).

BY USING OUR PLATFORM OR BY OTHERWISE GIVING US YOUR INFORMATION, YOU AGREE TO THIS PRIVACY POLICY. If you do not agree with the Privacy Policy, you should not use our Website or give us any of your personal information. What Information Do We Collect and How?

We collect personal information from several different sources, including information you provide directly to us, when you use the Services, and from third parties.

Personal Information You Provide.

Account Information. When you sign up to use our Services, we collect the personal information you provide to us, including your name, email address, and mobile phone number. You may choose to share additional information as well, such as a profile photo, payment information, or saved addresses, and set up other preferences.
Driver Information. If you apply to be a Driver, we collect the personal information you provide in your application, which may include your name, email address, mobile phone number, profile photo, and physical address. While you may share additional information in your profile, such as driver’s license information, vehicle information, and auto insurance information, we do not collect that information.
Communications. When you contact us or we contact you, post questions or reviews, or contribute to our blogs or Pawzitive Shipper’s platform, we collect the information that you provide, including the contents of messages or attachments you send us.
Ratings and Feedback. When you rate and provide feedback about Shippers, Recipients, Drivers, or the Website, we collect all of the information you provide.
Job Applications. If you apply to be an employee with Pawzitive Shippers, we will collect the information you submit to us, including your resume, contact information, and references.

Information We Collect When You Use the Services.

Usage Information. We collect information about your use of the Website, including pick-up and drop-off information, package details, date, time, destination, distance, route, payment, and whether you used a promotional or referral code.

How We Use Your Information.

To Provide and Operate the Services. We use your personal information to process your registration and to verify your information is valid and up-to-date, to respond to your inquiries, provide the services you request, process payments, and otherwise manage your account. We may also use your personal information to customize your experience with our Website, or to serve you content that is most relevant to you, and to enable you to participate in a variety of our Websites’ features such as sweepstakes and promotions and administer these activities. We may also use your personal information to investigate and resolve incidents in connection with the Website.
Improving the Services. We use your personal information to perform research, testing, and analysis; develop new products, features, partnerships, and services; prevent, find, and resolve software or hardware issues; and monitor and improve our operations and processes, including security practices, algorithms, and other modeling.

We do not sell your personal information. Your mobile telephone number, opt-in data, and SMS messaging will not be shared with any unaffiliated third parties or otherwise transferred, disclosed, or disseminated to any third party without your permission.

User Content. Your member profile and information that you post or share, such as photos, reviews, comments, suggestions, questions about a Job, information about you or your experience, posts or comments on Pawzitive Shippers blogs or community forums (collectively “User Content”), may be seen and shared with other Users of our Website or the public. You should therefore think carefully before deciding what information you share.
nformation Shared Between Users. We provide some of your personal information, such as your first name, contact information, photo, and details about your package and delivery, to the Driver who bids on/accepts your Job, so that the Driver may contact the Shipper, facilitate pick-up, and delivery, and so that you can track your package to the Recipient.
Third Parties Providing Services on Our Behalf. Pawzitive Shippers uses third-party vendors to assist in providing the Website to Users. We may provide these vendors with access to the following categories of personal information:

personal identifiers, such as your name, address, email address.
location data.
financial information and any other payment information you provide us.
transaction information, such as ride information, Driver/Shipper statistics and feedback, and Driver/Shipper transaction history.
Internet or other electronic network activity information, such as IP address, type of browser, version of operating system, carrier and/or manufacturer, device identifiers, and mobile advertising identifiers

We disclose this information for the following business purposes: design and/or operate the Website, track our Websites’ analytics, process payments, assist in anti-fraud and security measures, help us provide customer support and geo-location information to our Users and to provide advertising services to Pawzitive Shippers. Third parties enable us to provide many administrative services, including sending you special offers and targeted advertisements, hosting our job application form, performing technical and maintenance services, database management, web analytics, and other administrative services.

Google Analytics. Pawzitive Shippers uses Google Analytics Display Advertising, including Remarketing, Google Display Network Impression Reporting, the DoubleClick Cookie and/or Google Analytics Demographics and Interest Reporting to target and serve ads based on your past visits to our website, to gather information about the success of ad impressions and our Users’ interactions with ad impressions, measure and research the effectiveness of Pawzitive Shippers features, offerings, advertisements, and email communications (by determining which emails you open and act upon) and other uses of ad services related to visits to our site. Users can opt out of Google Analytics for Display Advertising using GOOGLE ANALYTICS OPT-OUT BROWSER ADD-ON.

Stripe Identity. We use Stripe for identity document verification. Stripe collects identity document images, facial images, ID numbers and addresses as well as advanced fraud signals and information about the devices that connect to its services. Stripe shares this information with us and also uses this information to operate and improve the services it provides, including for fraud detection. You may also choose to allow Stripe to use your data to improve Stripe’s biometric verification technology. You can learn more about Stripe and read its privacy policy at https://stripe.com/privacy.

Co-Branded Services. At times, some of our services may be provided to you in association with third parties including charities and sponsors (“Co-Branded Services”) and your use of these Co-Branded Services may require you or us to disclose certain of your information to the third party, for instance to confirm your package has been delivered. Any Co-Branded Services offered to you will specifically identify the third party. Any information that you disclose directly to a third party will be subject to that party’s posted privacy policy.

Sweepstakes, Contests and Promotions. From time to time Pawzitive fShippers may offer sweepstakes, contests, and other promotions (“Promotion”) that require registration. Each Promotion may contain specific rules and requirements, which will be disclosed to you at the time of sign-up. If you choose to enter a Promotion, your information may be disclosed to third parties or the public in connection with the administration of such Promotion, including, in connection with winner selection, prize fulfillment, and as required by law or permitted by the Promotion’s official rules, such as on a winners list.

Legal Reasons. We may access, use, preserve, transfer and disclose your personal information to government, law enforcement officials and/or private parties as we reasonably determine to be necessary and appropriate to satisfy any applicable law, regulation, subpoenas, governmental requests or legal process; to protect the safety, rights, property or security of Pawzitive Shippers, our Website or any third party, including you; to protect the safety of the public; to detect, prevent or otherwise address fraud, security or technical issues; and/or to prevent or stop activity we reasonably consider to be, or to pose a risk of being, an illegal, unethical, or legally actionable activity.

Investors and Affiliates. We may share your personal information with current, future and prospective individual investors or with our parent, subsidiaries and affiliates for internal reasons, including, during the course of any due diligence process.

Business Transfers and Financings. We may disclose and transfer all your information to a prospective or subsequent owner, co-owner or operator of the Website or applicable database or in connection with a financing, corporate merger, consolidation, restructuring, the sale of substantially all of our assets or other corporate change.

Your Rights and Choices Regarding Your Information.

All Users.

Emails. You can unsubscribe from marketing-related emails by clicking the “Unsubscribe” link at the bottom of any message. The link will bring you to your notification settings where you can unsubscribe. We will still send you transactional and administrative emails about your use of the Website and your account.

Text Messages. You can opt out of text messages by contacting customercare@pawzitiveshippers.com changing your account settings, or replying STOP from the mobile device that received the message.

Cookies. You can modify your cookie settings on your browser, but if you delete or choose not to accept our cookies, you may be missing out on certain features of the Website.

Do Not Track. Your browser may offer you a “Do Not Track” option, which allows you to signal to operators of websites and web applications and services that you do not want them to track your online activities. Pawzitive Shippers does not currently support Do Not Track requests because there is no standard interpretation or practice for such signals.

Modifying Your Account Information. You can review and modify certain account information by logging in to your account settings and profile.

User Content. To request removal of your User Content, please contact us through customercare@pawzitiveshippers.com We will make reasonable efforts to remove your User Content as requested.

Closing Your Account. You can cancel your User account by contacting us at customercare@pawzitiveshippers.com Even after you close your PawzitiveShippers account, we will retain certain of your information (including geo-location, trip history, credit card information and transaction history) as needed to comply with our legal, regulatory and contractual obligations, resolve disputes, conclude any activities related to cancellation of an account (such as addressing chargebacks from your credit card company), investigate or prevent fraud and other inappropriate activity, to enforce our agreements, and for other business reasons. After a period of time, your data may be anonymized and aggregated, and then may be held by us as long as necessary for us to provide our Services effectively.

California Residents

The California Consumer Privacy Act provides some California residents with the additional rights listed below.
Right to Know. You have the right to know and see what data we have collected about you over the past 12 months, including:

(1) The categories of personal information that Pawzitive Shippers collects, uses, discloses, and sells, as applicable

(5) The specific pieces of personal information that we have collected about you.

Right to Delete. You may request that Pawzitive Shippers delete your personal information. Note that deletion requests are subject to certain limitations, for example, we may keep information as required or permitted by law and/or our contractual obligations. We may also keep transaction history and information needed to process future transactions, certain account-related information (as noted above in Closing Your Account), and to facilitate User requests.

Submitting a Request. California residents can submit a request to access or delete their personal information by emailing us at customercare@pawzitiveshippers.com. Please include your full name, email address, and the phone number associated with your Pawzitive Shippers account, along with the type of request you are making, so that we can process your request most efficiently.

You have the right not to be discriminated against if you exercise your California privacy rights.

Other Things for You to Know.

Third Party Content. The Website may link to other web sites and online services. The inclusion of a link on the website or mobile app does not imply endorsement of the linked third-party website or their products and services, and is provided for your convenience only. We have no control over such third parties and if you decide to access any third party link, you do so subject to the terms and conditions and privacy policy that site.

Social Media Features and Widgets. Pawzitive Shippers website includes social media features, such as the Facebook Like button, and widgets such as a “Share This” button. These features may collect your IP address, which page you are visiting on our Website, and may set a Cookie to enable the feature to function properly. Social media features and widgets are either hosted by a third party or hosted directly on our Website. Your interactions with these features and widgets are governed by the privacy policy of the company providing them.

Children. Our Website is not directed toward minors and no one under 18 is allowed to register with or use the Website. If we discover that we have inadvertently collected personal information from a person under 18, we will delete that information immediately. If you are a parent or guardian of a minor and believe he or she has disclosed personal information to us, please contact us at customercare@pawzitiveshippers.com

Security. All personal information we collect is securely stored within our databases, and we use standard, industry-wide, commercially reasonable security practices to protect your information. However, we cannot guarantee the security of our databases, nor can we guarantee that information you supply won’t be intercepted while being transmitted to us over the Internet or wireless communication. Any information you transmit to Pawzitive Shippers is done at your own risk.

GDPR Compliance. The GDPR applies to any business that offers products/services to citizens of the EU, and/or collects personal information from citizens of the EU. Pawzitive Shippers is set up exclusively to service citizens located in the United States of America and Canada, therefore it does not serve any business purpose to EU citizens and is not subject to GDPR.
